1. Services We Provide

Arise AI provides AI-powered automation tools including:

• AI receptionists
• SMS and chat automations
• CRM workflows
• Appointment booking automations
• Integrations with GoHighLevel and other platforms

We may add, modify, or discontinue features at any time.

2. Eligibility

You must:

• Be 18 or older
• Be legally able to enter a contract
• Use the Services for business purposes only

If you use Arise AI on behalf of a business, you confirm you are authorized.

3. Account Registration

You agree to:

• Provide accurate information
• Protect login credentials
• Be responsible for account activity

We may suspend accounts that violate these Terms.

4. Billing & Subscription

4.1 Payments

You authorize Arise AI and our processors (e.g., Stripe) to charge your payment method for:

• Subscriptions
• Usage fees
• Taxes

4.2 Auto-Renewal

Subscriptions renew automatically unless canceled.

4.3 Refund Policy

• No refunds for partial billing periods
• Access continues until the cycle ends
• Refunds may be granted only at our discretion.

5. Your Responsibilities

You agree to:

• Use the Services legally
• Follow industry-specific rules (including HIPAA if applicable)
• Provide accurate data for AI workflows
• Avoid uploading harmful or malicious content

You are responsible for the actions and data of your end users.

6. Data Privacy & Processing

Our Privacy Policy governs how we collect and use data.

6.1 Data Processor Role

For your customer data, Arise AI acts as a Data Processor or Business Associate.

You are the Data Controller or Covered Entity.

6.2 BAA Requirement (Healthcare Clients)

Healthcare clients must sign a Business Associate Agreement before transmitting PHI through Arise AI systems.

We do not accept responsibility for PHI handled without a BAA in place.

7. Use Restrictions

You may not:

• Reverse engineer or duplicate our systems
• Use our services for illegal, abusive, or deceptive purposes
• Attempt to bypass usage limits
• Resell or sublicense Arise AI without permission
• Interfere with our infrastructure

Violations may result in termination.

8. Third-Party Services

Arise AI integrates with platforms such as:

• GoHighLevel
• Stripe
• SMS/email providers
• Analytics platforms

We are not responsible for outages, errors, or policies of third-party services.

9. Intellectual Property

Arise AI retains ownership of:

• Software
• AI models
• Workflows
• Training data
• Branding and content

You receive a limited, non-transferable license to use the Services.

No copying, reproducing, or redistributing is allowed.

10. Disclaimers

To the fullest extent allowed by law:

• Services are provided “as is.”
• We do not guarantee error-free AI output or uninterrupted use.
• AI responses should not be treated as professional or legal advice.
• You are responsible for reviewing content generated by the AI.

11. Limitation of Liability

Arise AI is not liable for:

• Loss of profits
• Indirect or consequential damages
• Data loss

Our total liability is limited to the amount paid to Arise AI in the preceding 12 months.

12. Indemnification

You agree to indemnify Arise AI for claims arising from:

• Your misuse of the Services
• Your violation of these Terms
• Your handling of PHI or customer data
• Your non-compliance with applicable laws

13. Termination

We may suspend or terminate your access if:

• You violate these Terms
• Payments fail
• Harmful or abusive activity occurs
• We discontinue the Services

Upon termination, your license ends immediately.

14. Governing Law

These Terms are governed by the laws of the state in which Arise AI operates.

Disputes may be resolved through binding arbitration.
